This service is operated by dcode technologies S.A., a company incorporated under the laws of the Grand Duchy of Luxembourg (hereinafter "dcode", "we", "us"). By purchasing or using the AI Agent Builder, you ("Customer", "you") agree to these Terms of Service.
AI Agent Builder is a digital product that generates downloadable ZIP files containing autonomous agent systems. Each ZIP includes a runtime engine (JavaScript), customized workspace files (agent configurations, skills, guardrails), shell scripts, and deployment files. The product is delivered as an instant digital download upon successful payment.
The product is delivered as a digital download immediately upon purchase. In accordance with EU Directive 2011/83/EU, Article 16(m), by completing your purchase you expressly consent to the immediate delivery of digital content and acknowledge that you thereby waive your right of withdrawal. You will be asked to confirm this consent during the checkout process. Notwithstanding the above, if you are unable to get the system running within 14 days of purchase, you may contact us for troubleshooting assistance or a refund.
The product is offered in three tiers: Solo (49 €), Team (149 €), and Fleet (299 €). All prices are one-time payments in euros, inclusive of applicable taxes. Payments are processed securely by Stripe. We do not store your payment card details.
Upon purchase, dcode grants you a perpetual, non-exclusive, non-transferable, single-device license to use the generated agent system. The license is bound to one legal entity (individual or company) and one primary machine. You may: • Run the system on the machine where it was first activated • Modify the workspace files (agent configurations, skills, guardrails) for your own use • Create derivative works based on your configuration • Contact us to transfer your license to a replacement machine You may NOT: • Redistribute, sublicense, share, upload, or resell the runtime engine or any generated code • Share your download, license key, or activation token with any other individual or entity • Run the same license on multiple machines simultaneously without purchasing additional licenses • Remove, alter, or circumvent the license verification system • Use the product to build a competing agent builder, framework, or platform • Reverse-engineer the license protection or activation mechanism
Each license includes a unique serial key embedded in your download. On first run, the system activates by registering a hardware fingerprint (a one-way hash of your machine’s characteristics — no personal data is collected). The system periodically checks for updates and validates your license (approximately once every 24 hours). This verification: • Confirms your license key is active and bound to your machine • Checks for available software updates • Transmits only: license key, hardware fingerprint hash, and software version • Does NOT transmit: agent output, business data, API keys, or file contents If the license server is unreachable, the system operates normally for a 7-day grace period. If verification fails because the license is being used on an unauthorized machine, the system will degrade to read-only mode (agents can observe but not act). Revoked licenses result in a graceful shutdown.
The AI Agent Builder runtime contains license protection technology. Any attempt to duplicate, share, redistribute, or operate the software outside the terms of the license constitutes software piracy under Luxembourg law (Loi du 18 avril 2001 sur les droits d’auteur) and EU Directive 2009/24/EC on the legal protection of computer programs. If we detect unauthorized use — including but not limited to the same license key activated on multiple devices, redistribution of the download, or circumvention of the license verification system — we reserve the right to: • Immediately revoke and deactivate the license • Terminate your account and deny future purchases • Pursue civil damages for lost revenue (minimum: 10x the license value per unauthorized copy) • Report the infringement to Luxembourg authorities for criminal prosecution • Seek injunctive relief in any competent court We actively monitor license activations for anomalies. Piracy detection is automated and ongoing. If you believe your license was compromised (e.g., your machine was stolen), contact us immediately at [email protected] to transfer your license to a new device.
The runtime engine, generator code, license protection system, templates, skill definitions, and all associated software are the exclusive intellectual property of dcode technologies S.A., protected by Luxembourg copyright law, EU Directive 2001/29/EC, and international copyright treaties. Your generated workspace configuration (agent identities, custom skills, guardrails you define) belongs to you. This distinction is important: we own the engine, you own your configuration.
Your purchase includes 2 months of free updates from the date of purchase. After this period, continued access to updates is available for 9.99 €/month (optional). You are never required to update — your purchased version will continue to work indefinitely. Updates may include new skills, runtime improvements, security patches, and new agent templates. The license verification system also serves as the update delivery mechanism. Disabling or circumventing the verification system forfeits your right to receive updates.
The agent system requires third-party AI model providers (such as OpenRouter) to function. You are responsible for obtaining and paying for your own API keys. dcode is not responsible for the availability, pricing, or terms of third-party AI model providers. Your use of third-party services is governed by their respective terms.
The product is provided "as is". To the maximum extent permitted by Luxembourg law: • dcode is not liable for any indirect, incidental, or consequential damages arising from the use of the product • dcode is not responsible for actions taken by AI agents you configure and deploy • dcode's total liability shall not exceed the amount paid for the product • You are solely responsible for the configuration, deployment, and supervision of your agent system Nothing in these terms limits liability for fraud, gross negligence, or death/personal injury caused by negligence.
The agent systems you generate run entirely on your own infrastructure. We do not have access to your agents' output, your business data, or your API keys. For information about what data we collect during the purchase process, please see our Privacy Policy.
Your license is perpetual and cannot be revoked except in cases of material breach of these terms — including but not limited to redistribution of the runtime engine, sharing of license keys, or circumvention of the license verification system. If we terminate your license for breach, the software will be remotely deactivated and you must delete all copies. Your generated configuration files (agent identities, custom skills, guardrails) remain yours regardless of termination.
These terms are governed by the laws of the Grand Duchy of Luxembourg. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Luxembourg City. For EU consumers: this does not affect your rights under mandatory consumer protection laws of your country of residence. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
We may update these terms from time to time. Material changes will be communicated via email to registered customers. Continued use of the product after changes constitutes acceptance of the updated terms.
